Sandblue protects your intellectual property rights (IPR) using a three-pronged approach:

• Contractual Safeguards
• Culture Building
• Controls and Practices

Contractual Safeguards
Sandblue will execute an NDA (Non-Disclosure Agreement) with you. In this NDA, we undertake that all information received and deemed to be confidential will be maintained that way. We also undertake that we will not reverse engineer any of your software, which may have been supplied for project execution.

Similar NDAs will also be signed with each of our employees involved with the project.

You can define a list of close competitors, and we will ensure not to initiate work with any of them in the same application area.

As a client, you and Sandblue shall mutually indemnify each other against breach of any third party IP in the course of conducting work under the proposed agreement.

In some equipment is loaned to Sandblue as part of the requirement for project execution, you can ask Sandblue to be responsible for the safe-keep of all equipment without creation of ownership in any form and without any encumbrances. Machines can be labeled as your property and not be shifted from the intended facility to any other location without prior consent.

You as a customer can even choose the country of jurisdiction for IP related issues.

Culture Building
Sandblue promotes an internal culture where every individual is aware of, and respects, the IP rights of customers. This is accomplished through:

• An policy regarding IP rights and responsibility of all staff to protect the IP, and compliance mechanisms to ensure that it is followed in letter and spirit.
• Awareness programs to educate staff on IP rights and protection.

Controls and Practices
Consistent with the policies outlined for IPR protection, Sandblue has put in place a set of clearly defined controls and safeguards. Here are examples of such controls and practices:

• We have instituted access control, visitor log/visitor badge and posting of security personnel in our development facilities.
• There is well-established processes for backup and other MIS safeguards.
• Subject to agreed minimum levels of business, Sandblue can arrange for physically isolated and secure space for customers for executing projects.
